These Terms of Use (“Terms”) govern your access to and use of the Bitstac website, platform, applications, and services (collectively, the “Services”) operated by Bitstac and its affiliated entities (collectively referred to as “Bitstac”, “we”, “us”, or “our”).

Bitstac provides financial technology infrastructure supporting cross-border payments, digital asset–enabled transactions, trade facilitation, supplier verification, and related financial services.

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Notice. If you do not agree with these Terms, you must not access or use the Services.

These Terms apply to all visitors, users, and others who access or use the Services.

1. Our Services

Bitstac provides a digital platform designed to facilitate financial and trade-related services for businesses. The Services may include cross-border remittance and payment processing, digital asset–enabled payment infrastructure, trade facilitation and supplier verification services, transaction settlement and payment routing, business credit support, and platform integrations.

The availability of specific Services may depend on your location, regulatory eligibility, and account status. Bitstac reserves the right to modify, suspend, or discontinue any part of the Services at any time.

2. Eligibility

To use Bitstac Services, you must be at least 18 years old or the legal age required to enter into binding contracts in your jurisdiction. You must have the legal capacity to enter into these Terms and must not be located in a jurisdiction where our Services are restricted or prohibited by law.

If you use the Services on behalf of a company, organisation, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Account Registration

Access to certain Services requires the creation of an account. During registration, you may be required to provide information including:

You agree to provide information that is accurate, complete, and up to date at all times. Failure to provide accurate information may result in restrictions, suspension, or termination of your account.

4. Identity Verification and Regulatory Compliance

As a financial services platform, Bitstac is required to comply with applicable anti-money laundering (AML), counter-terrorism financing (CTF), sanctions, and financial regulatory obligations.

By using the Services, you agree that Bitstac may perform identity verification checks, conduct sanctions screening, monitor transactions for suspicious activity, request additional documentation, and report transactions to relevant regulatory authorities where required by law.

Bitstac reserves the right to decline, delay, restrict, or cancel transactions where necessary to comply with legal obligations or to manage financial crime risk.

5. User Responsibilities

  • 5.1. You are responsible for maintaining the confidentiality and security of your account credentials, including passwords, authentication codes, and any other access information.
  • 5.2. You agree to ensure that all information provided to Bitstac is accurate and to promptly update such information where necessary.
  • 5.3. You must notify Bitstac immediately if you become aware of any unauthorized access to your account, suspected security breach, or suspicious transaction activity.
  • 5.4. Bitstac will not be responsible for losses resulting from unauthorized access caused by your failure to safeguard account credentials.

6. Prohibited Use

You agree not to use the Services for any unlawful or prohibited purpose.

In particular, you must not use the Services to violate any applicable law or regulation, engage in fraud, money laundering, terrorist financing, or other illegal activities, circumvent sanctions or regulatory requirements, provide false or misleading information, interfere with or disrupt the operation of the platform, attempt to gain unauthorized access to Bitstac systems or accounts, or deploy automated tools to exploit or scrape platform data.

Bitstac reserves the right to investigate suspected violations and take appropriate action, including suspension of accounts or reporting activities to relevant authorities.

7. Digital Asset and Transaction Risks

Certain Bitstac services may involve transactions using digital assets or blockchain-based networks. You acknowledge that digital asset markets can be volatile and that blockchain transactions are generally irreversible once confirmed on a network. Transaction confirmation times and fees may vary depending on network conditions.

Bitstac does not control blockchain networks and cannot reverse or modify transactions once they have been submitted and confirmed. Users are responsible for ensuring the accuracy of transaction details before initiating any transaction.

8. Fees and Charges

Certain Services may be subject to transaction fees, processing fees, or other service charges. Applicable fees will be disclosed through the platform or communicated before the completion of a transaction. By using fee-based Services, you agree to pay all applicable charges.

Bitstac reserves the right to revise fees from time to time, subject to reasonable notice where applicable.

9. Availability of Services

Bitstac strives to provide reliable and uninterrupted Services; however, we do not guarantee that the Services will always be available, secure, or free from errors. Services may be temporarily unavailable due to maintenance, system upgrades, technical issues, third-party service interruptions, or regulatory restrictions. Bitstac will not be liable for any disruption or interruption to Services beyond its reasonable control.

10. Intellectual Property

All software, content, trademarks, logos, designs, and materials associated with the Services are the property of Bitstac or its licensors and are protected under applicable intellectual property laws.

You may access and use the Services solely for lawful purposes in accordance with these Terms. You may not reproduce, distribute, modify, reverse engineer, or create derivative works from any part of the Services without prior written consent from Bitstac.

11. Third-Party Services

The Services may include integrations with or links to third-party services, including financial institutions, payment processors, or blockchain networks. Bitstac does not control and is not responsible for the content, practices, or availability of third-party services. Your use of such services may be subject to separate terms and conditions imposed by those third parties.

12. Suspension and Termination

Bitstac may suspend or terminate your access to the Services at any time if you breach these Terms, fail to comply with regulatory requirements, present a risk to the platform or other users, or where required by law.

You may stop using the Services at any time. Certain provisions of these Terms will continue to apply after termination, including those relating to liability, intellectual property, and dispute resolution.

13. Limitation of Liability

To the fullest extent permitted by law, Bitstac and its affiliates shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with your use of the Services.

Where liability cannot be excluded under applicable law, Bitstac’s total liability shall be limited to the amount of fees paid by you to Bitstac for the Services giving rise to the claim.

14. Disclaimer

The Services are provided on an “as is” and “as available” basis. Bitstac makes no warranties or representations, whether express or implied, regarding the availability, reliability, or accuracy of the Services. Bitstac does not guarantee that the Services will operate without interruption or that any defects will be corrected.

15. Changes to These Terms

Bitstac may revise these Terms from time to time. Updated Terms will be published on our website with the revised “Last Updated” date. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, unless otherwise required by applicable law. Any disputes arising out of or relating to these Terms shall be subject to the jurisdiction of the courts of Nigeria.
